About these terms
These Terms apply when you buy paid digital software or related services directly from ToolMate Labs through toolmatelabs.com.
ToolMate Labs is registered in Denmark under CVR/VAT DK46706471, Skolebakken 1, 2830 Virum, Denmark. You can contact us at info@toolmatelabs.com.
Mandatory consumer rights always take priority where they cannot legally be limited by these Terms.
Orders, prices & payment
The product page and checkout show the product, price, currency, licence details and any taxes charged by ToolMate Labs before you place the order.
Your purchase agreement is formed when we accept and confirm your order, normally through the checkout confirmation and/or order email. Available payment methods are shown at checkout and payments are handled securely through our payment providers.
We may reject or cancel an order if payment cannot be authorised, the information supplied is materially incorrect, the transaction appears fraudulent or unlawful, or we are legally unable to supply the product. Any payment already captured for a cancelled order will be refunded where required.
Digital delivery
ToolMate products are supplied digitally. After successful payment, the purchased download, account access and/or licence information is normally made available electronically.
No physical product is shipped. You are responsible for providing a working email address and keeping access to the account or email used for the purchase.
Software, licences & support
Each product page states its main functionality, technical requirements and commercial licence benefits. ToolMate products are designed for WordPress/WooCommerce environments, but we cannot guarantee compatibility with every theme, plugin, custom codebase, hosting setup or future third-party software version.
WordPress plugin code supplied by ToolMate Labs remains subject to the open-source licence stated in the relevant software package, including GPLv2 or later where applicable. A paid purchase may separately include services such as updates, support, licence-key services or account benefits for the period and number of sites shown at purchase.
Support covers reasonable assistance with the ToolMate product itself. It does not include general WordPress development, custom development or unrestricted debugging of unrelated third-party software unless expressly agreed.
Renewals
If a product is offered with automatic renewal, the renewal interval and relevant price information will be shown before purchase. If automatic renewal is not stated at checkout, the purchase will not renew automatically.
Consumer rights & refunds
If you are an EU/EEA consumer, online purchases normally include a 14-day right of withdrawal. Special rules apply to digital content supplied immediately.
If, before delivery begins, you expressly consent to immediate supply and acknowledge that you lose the right of withdrawal once delivery begins, the withdrawal right for that digital content may end when supply starts in accordance with applicable law.
This does not remove your statutory rights if the digital product is defective or does not conform to the contract. Depending on applicable law and the circumstances, remedies may include bringing the product into conformity, a price reduction, termination and/or reimbursement.
Refund requests are handled under our Refund Policy and applicable law.
Acceptable use
You may not use ToolMate Labs accounts, payment systems, update services or support channels for unlawful activity, fraud, abuse, attempts to compromise security or interference with other users or systems.
Nothing in this section limits rights granted to you under an applicable open-source software licence.
Liability
Nothing in these Terms excludes or limits liability or consumer rights that cannot legally be excluded or limited.
For business customers, and to the extent permitted by law, ToolMate Labs is not responsible for indirect or consequential losses, lost profits or losses caused by third-party software or services outside our reasonable control. You remain responsible for appropriate backups, testing and administration of your own website.
Governing law & complaints
These Terms are governed by Danish law, without removing mandatory consumer protections that may apply in your country of residence.
If you have a complaint, please contact us first so we can try to resolve it directly. Danish consumers may also have access to the Danish public consumer complaints system through Nævnenes Hus where the complaint is eligible.
Contact & changes
The Terms that apply to your purchase are the version presented when you buy, together with any product-specific terms shown before purchase. We may update these website Terms for future purchases when our products, business setup or legal obligations change.
